Women’s Post User Agreement (as of September 02, 2008)
The Women’s Post website is an online business network tool that enables professional women to find and connect with other professionals more effectively.  Whether looking for referrals for products and services, sales leads, a new job, an industry expert, or just to connect with others with similar interests, Women’s Post users can make contact with a myriad of professionals who are users of the Women’s Post website.
This Agreement describes the terms on which you may access and use the services of Women’s Post.  In order to become a Women’s Post user, you must read and accept all of the terms and conditions of this Agreement and our Privacy Policy.  If you do not agree to be bound by the terms of this Agreement, you may not use nor access our services. 
Women’s Post may modify this Agreement from time to time and such modification shall be effective upon posting by Women’s Post on the Women’s Post website.  You agree to be bound to any changes to this Agreement when you use the Women’s Post website after any such modification is posted.  It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

Eligibility
The Women’s Post website services are not available to individuals under the age of 18 or to any users suspended or removed by Women’s Post for any reason.  Your profile may be deleted without warning if we believe that you are less than 18 years of age.  Users may not have more than one active account. 

Use of Service
Your use of the Women’s Post website is governed by this User Agreement.  Women’s Post may refuse service without prior notice to any user for any or no reason.
You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account with or without your knowledge.  If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated.  You agree to immediately notify Women’s Post of any unauthorized use of your password or account or any other breach of security.  Women’s Post cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

User Conduct
You understand and agree not to use the Women’s Post website to:
•	Post content or initiate communications which are unlawful, harmful, libelous, abusive, threatening, obscene, pornographic, discriminatory, invasive of another’s privacy, or otherwise objectionable. 
•	Engage in any illegal purpose.
•	Falsely state, impersonate, or otherwise misrepresent your identity.
•	Post, transmit, upload, share or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements). 
•	Post, transmit, upload, share or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights. 
•	Post, transmit, upload, share or otherwise make available any unsolicited or unauthorized advertising, promotional materials, or anything that constitutes “affiliate marketing”, “junk mail”, “spam”, “multi-level marketing”, “chain letters”, “pyramid schemes”, or any other form of solicitation. 
•	Post, transmit, upload, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. 
•	Use misleading email addresses or forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Women’s Post. 
•	Attempt to gain unauthorized access to the Women’s Post computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Women’s Post website.

Term
This Agreement shall remain in full force and effect while you use the services of Women’s Post.  You may terminate your account at any time, for any reason, by filling out and sending the request form at http://www.womenspost.ca/help.  Women’s Post may terminate your account privileges at any time, without warning.  Even after your account is terminated, this Agreement will remain in effect.
Information Provided on this Website
In the course of using the Women’s Post services, users may provide information about themselves which may be visible to certain other users (see our Privacy Policy to learn more about information collected on this website).  You understand that by posting materials on the Women’s Post website or otherwise providing materials to Women’s Post, you are granting to Women’s Post Ltd. a royalty-free, perpetual, irrevocable license to use this information in the course of offering the Women’s Post services.  Furthermore, you understand that Women’s Post retains the right to reformat, excerpt, or translate any materials submitted by you.  You understand that all information publicly posted or privately transmitted through the Women’s Post is the sole responsibility of the person from which such content originated and that Women’s Post will not be liable for any errors or omissions in any content.   You understand that Women’s Post cannot guarantee the identity of any other users with whom you may interact in the course of using the Women’s Post services.  Additionally, we cannot guarantee the authenticity of any data which users may provide about themselves, their businesses or relationships they may describe.

Access to Service
Use of manual or automated software, devices, or other processes to “crawl” or “spider” any web pages contained in the Women’s Post websites is strictly prohibited.  You agree not to monitor or copy, or allow others to monitor or copy, our web pages or the content included herein.  You also agree not to “frame” or otherwise simulate the appearance or function of this website.  Furthermore, you agree not to take any action that interferes with the proper working of or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorized access, or transmission or activation of computer viruses.

Disputes and Monitoring
You are solely responsible for your interactions with other users of the Women’s Post services.  Women’s Post reserves the right, but has no obligation, to monitor disputes between you and other users.  Because individuals sometimes choose not to comply with our policies and practices, in the process of using our website, you may be exposed to content that you find offensive or objectionable.  You can contact our Customer Service Department to let us know of content that you find objectionable.  We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate; however, because situations and interpretations vary, we also reserve the right not to take any action.  Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.

Women’s Post Communications
In the course of providing you services, Women’s Post may need to communicate with you via email (see our Privacy Policy to learn more about communications).  You agree to receive emails which are specific to your account and necessary for the normal functioning of the Women’s Post website, including a series of welcome emails which help inform new users about various features of the Women’s Post services.  You also agree to have your name and/or email address listed in the header of certain communications which you initiate through the Women’s Post website.
Any comments, materials, or letters sent by you to Women’s Post including without limitation, questions, comments, suggestions, criticisms or the like shall be deemed to be non-confidential and free of any claims of proprietary or personal rights unless you explicitly state in the correspondence that the letter is "not for publication" and contains "private and proprietary" information that may not be distributed.  Women’s Post shall have no obligation of any kind with respect to such materials and will be free to reproduce, use, disclose, exhibit, display, transform, edit, abridge, create derivative works from and/or distribute the materials without limitation or restriction within its services, website or affiliated websites.  Furthermore, Women’s Post is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to Women’s Post for any purpose whatsoever, including, but not limited to, developing, manufacturing, and marketing products using such information, by itself or in connection with its clients, without compensation or any other obligations to anyone, including you. 

Fees
Signing up for a Women’s Post account is free.  Women’s Post reserves the right to charge for the Women’s Post services or any portion thereof or modify the pricing of all or any portion of the Women’s Post services upon notification of users.  Women’s Post reserves the right to add to or discontinue all or any portion of the Women’s Post services without prior notice.
Indemnity
By accepting this User Agreement, you agree to indemnify and otherwise hold Women’s Post Ltd., its owners, officers, directors, employees, agents, subsidiaries, affiliates and other partners harmless from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of the Women’s Post services; ii) unauthorized access to or alteration of your communications with or through the Women’s Post services, or iii) any other matter relating to the Women’s Post services.  Any business transactions which may arise between users from their use of Women’s Post services are the sole responsibility of the users involved.
Without limitation of the terms and conditions set forth in our Privacy Policy, you understand and agree that Women’s Post may disclose personally identifiable information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce this User Agreement, or protect the rights, property, or safety of Women’s Post, its users, and the public.

Disclaimer of Warranties
YOU UNDERSTAND AND AGREE THAT THE WOMEN’S POST SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THAT WOMEN’S POST DOES NOT ASSUME ANY RESPONSIBILITY FOR PROMPT OR PROPER DELIVERY, OR RETENTION OF ANY USER INFORMATION OR COMMUNICATIONS BETWEEN USERS.  WOMEN’S POST ASSUMES NO RESPONSIBILITY FOR THE ACCURACY OR EXISTENCE OF ANY COMMUNICATIONS BETWEEN USERS.  WOMEN’S POST EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
WOMEN’S POST MAKES NO WARRANTY THAT (i) THE WOMEN’S POST SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE WOMEN’S POST SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE WOMEN’S POST SERVICES WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE WOMEN’S POST WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE WOMEN’S POST IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM WOMEN’S POST OR THROUGH OR FROM THE WOMEN’S POST WEBSITES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS USER AGREEMENT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.  ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Entire Agreement
The User Agreement constitutes the entire agreement between you and Women’s Post and governs your use of the Women’s Post website, superseding any prior agreements between you and Women’s Post.  This Agreement operates to the fullest extent permissible by law.  If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

Limitation of Liability
YOU EXPRESSLY UNDERSTAND AND AGREE THAT WOMEN’S POST SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WOMEN’S POST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES.  ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.  IN NO EVENT WILL WOMEN’S POST’S TOTAL CUMULATIVE DAMAGES EXCEED $100 CDN.

Governing Law
This website is controlled by Women’s Post Ltd. from its offices within the Province of Ontario, Canada.  These terms and conditions and the use of this website shall be governed and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein and without regard to any conflict of law provisions.  You irrevocably agree to the exclusive jurisdiction of the courts of the Province of Ontario.  Women’s Post Ltd. makes no representation that materials on Women’s Post website are appropriate or available for use in other jurisdictions.  Anyone accessing Women’s Post website from other jurisdictions assumes sole responsibility for compliance with local laws.

General Information
Women’s Post, the Women’s Post logo, Women’s Portal, and other Women’s Post Ltd. logos and names are trademarks of Women’s Post Ltd.  You agree not to display or use these trademarks in any manner without Women’s Post’s prior, written permission.  The section titles of this User Agreement are displayed for convenience only and have no legal effect.
